1Acceptance of Terms

By accessing, registering for, or using any service provided by Bridgecubex Infratech Pvt. Ltd. ("Bridgecubex", "we", "our", or "us"), you ("Customer", "you", or "your") agree to be bound by these Terms and Conditions ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

If you do not agree to these Terms, you must not use our services. These Terms apply to all users of the solutions and services we provide or coordinate.

2Services Description

Bridgecubex is a Platinum Partner of Tata Tele Business Services. We provide solution consulting, procurement coordination, deployment coordination and customer engagement for enterprise technology solutions including, but not limited to:

• Enterprise connectivity — Internet Leased Line, Smart Internet, MPLS, Business Broadband, Wi-Fi
• SD-WAN and managed networking
• Cloud and SaaS — Microsoft Azure, Microsoft 365, Google Workspace
• Cybersecurity solutions
• Smartflo and business communication — SIP Trunk, PRI, Centrex
• Collaboration tools
• Customer engagement — Toll Free, SMS, WhatsApp Business Platform, RCS, IVR, OBD
• IoT and digital solutions

Services are subject to the technical specifications, commercial terms and service provider terms set out in your proposal, service agreement or order form.

3Account Registration & Eligibility

To use our services, you must:

• Be a registered business entity or individual of at least 18 years of age
• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate
• Keep your account credentials confidential and secure

Bridgecubex reserves the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

4Payment Terms & Billing

Subscription Fees

Services are billed on a monthly or annual basis as specified in your service plan. All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes including GST.

Payment

• Payment is due within 7 days of invoice date
• Late payments may attract a penalty of 1.5% per month
• Services may be suspended after 15 days of non-payment
• Payments can be made via bank transfer, UPI, or credit/debit card

Refund Policy

Setup fees and advance payments are non-refundable. Monthly subscription fees are not refunded for partial months. Disputes must be raised within 15 days of the invoice date.

5Service Levels & Support

Service levels, uptime commitments and service credits for each product are those set out in the applicable service provider's terms and in your order form or service agreement.

Bridgecubex will act as your point of contact for service requests and escalations, and will coordinate with the service provider to resolve issues. Support contact details are listed in section 14.

6Acceptable Use Policy

You agree not to use our services to:

• Make or facilitate unsolicited bulk calls (robocalls) or spam
• Engage in fraudulent, abusive, or illegal activities
• Transmit any content that is defamatory, obscene, or harmful
• Interfere with or disrupt the integrity or performance of our network
• Attempt to gain unauthorized access to our systems
• Violate any applicable Indian or international laws
• Resell services without prior written authorization from Bridgecubex

Violation of this policy may result in immediate suspension or termination of services without refund.

7Intellectual Property

All software, platforms, interfaces, documentation, and content provided by Bridgecubex remain the exclusive intellectual property of Bridgecubex Infratech Pvt. Ltd. or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the services solely for your internal business purposes during the term of your subscription.

You may not copy, modify, distribute, reverse engineer, or create derivative works based on our platform without express written permission.

8Confidentiality

Both parties agree to keep confidential all proprietary information disclosed during the course of the business relationship. This includes pricing, technical configurations, customer data, and business processes. This obligation survives termination of the service agreement for a period of two (2) years.

9Limitation of Liability

Bridgecubex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

Bridgecubex is not responsible for service interruptions caused by third-party internet service providers, force majeure events, or customer-side equipment failures.

10Termination

By Customer

You may terminate your subscription by providing 30 days' written notice before your next billing cycle. No refund is provided for the notice period.

By Bridgecubex

We may terminate or suspend your account immediately for:

• Violation of these Terms or the Acceptable Use Policy
• Non-payment after 30 days
• Any fraudulent or illegal activity
• Any conduct that may harm Bridgecubex or its other customers

Upon termination, your access to services ceases and data may be deleted after 30 days.

11Partner & Third-Party Services

Bridgecubex Infratech Pvt. Ltd. is a Platinum Partner/channel partner of Tata Tele Business Services. Tata Tele Business Services products and services are subject to applicable terms, conditions, eligibility, service availability and geographical coverage.

Where a solution is delivered by Tata Tele Business Services or another third-party provider (for example Microsoft, Google or Zoom), your use of that solution is also governed by that provider's terms. Where those terms conflict with these Terms on matters of service delivery, the provider's terms prevail.

Customers are responsible for ensuring their use of the services complies with all applicable laws and regulations.

12Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

Prior to initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

13Changes to Terms

Bridgecubex reserves the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or through a notice on our website. Continued use of our services after the effective date of changes constitutes acceptance of the revised Terms.
